Partners
Partner programme terms
The rules of the SBD partner programme in plain English. Each partner also signs a short agreement; where the two differ, the signed agreement wins.
These terms apply between SmallBay Digital LLP ("SBD", "we") and each person or company accepted into the SBD partner programme ("partner", "you"). They cover the referral, white-label, consultancy and technology tracks described on the partner programme page.
1. Joining
You apply through the application form. We may accept or decline any application and do not have to give a reason. There is no fee to join. Acceptance is confirmed in writing, with your track, rates and payment details in a signed partner agreement.
2. Registering an introduction
- An introduction counts when you register it, through the partner portal or by email, before the client first speaks to SBD about the work.
- You confirm the client has agreed to be introduced and to SBD contacting them.
- A registration is protected for 90 days. If the client signs an audit, build or engagement in that time, it is your introduction. If not, you can register it again with a note of what has changed.
- If two partners register the same client, the earlier registration that leads to a meeting counts. Clients already in conversation with SBD cannot be registered.
3. Referral commission
For each client you introduce, we pay commission on the cash SBD collects from that client in the 12 months after their first invoice, covering audits, builds, care plans and forward deployed engineers. Commission is calculated in bands, and each band’s rate applies only to the revenue inside it:
- 5% on the first $500
- 10% on $500 to $5,000
- 12.5% on $5,000 to $25,000
- 15% on above $25,000
For example, a client who pays $10,000 in their first 12 months earns you $1,100. Commission excludes taxes, platform and model costs passed through at cost, and any amount refunded or credited to the client.
4. White-label partner pricing
White-label partners buy SBD delivery at 20% below SBD’s published build prices and 15% below published care plan prices. Once your white-label builds with SBD exceed $50,000 in a calendar year, the build discount becomes 25% for the rest of that year. You set your own price to the client and invoice them yourself; SBD invoices you. Referral commission does not apply to white-label work.
White-label work is delivered under a mutual non-disclosure agreement. Systems are still built in accounts the end client owns, to SBD’s published standards, so the client is never locked in to either of us.
5. Payment
- We pay commission within 30 days of receiving the client’s payment, by bank transfer in USD, INR or GBP, with a monthly statement.
- You are responsible for your own taxes. Where the law requires us to deduct tax at source, we do and give you the certificate.
- If a client payment is refunded or reversed, the commission on that amount is deducted from your next payment.
- White-label partners pay SBD’s invoices on the terms in the statement of work, whether or not their client has paid them.
6. How you represent SBD
- Describe SBD accurately. Do not promise prices, timelines, results or features on our behalf; the audit and a written statement of work set those.
- Do not bid on SBD’s name in paid search, register domains or social accounts using it, or present yourself as SBD.
- Use SBD’s name and logo only as supplied in the partner resources, and stop when the agreement ends.
- Follow anti-bribery and anti-spam law. Do not pay or offer anything to a client’s staff to win an introduction.
7. Confidentiality and data
Each side keeps the other’s non-public information confidential. You share a client’s personal data with SBD only with the client’s agreement, and only what is needed to make the introduction. SBD handles it under its privacy notice and, for client work, its data processing addendum.
8. Relationship
You are an independent business. Nothing in the programme makes you SBD’s employee, agent or legal partner, and neither side can bind the other. The programme is not exclusive: you may refer to others and we may work with other partners.
9. Ending the agreement
Either side can end the agreement with 30 days’ written notice, or immediately if the other breaches these terms in a serious way. After it ends, we still pay commission on payments already due and on registrations made before the end date that convert within their 90 days.
10. Changes and law
We may change these terms or the rates with 30 days’ notice; changes do not affect commission on introductions registered before the change takes effect. These terms are governed by the laws of India, and the courts of Bengaluru have jurisdiction. Questions: hello@smallbaydigital.com.
